Purchase

A school that has purchased an AMBIT course consisting of DVD(s) along with the CD ROM containing the course documentation, may use it for training its own staff, printing off copies of the Individual Learning Guide for each staff member studying the course. The course may not be used for, by or in any other school or organisation or to train the employees or governors of any other school or organisation.

Approval/Trial

A school that has ordered any AMBIT course on approval or is taking part in a trial of any kind may use the course for the purposes of evaluating it only, printing off one copy of each of the two course documents but may not keep or use any part of the course after the end of the approval or trial period unless the school has purchased the course. Any course not returned by the school within the agreed period (which will have been confirmed in writing at the time of taking the trial) will be considered to have purchased the course and an invoice will be issued accordingly. The invoice must be paid within the time stipulated or interest will be added as described in 'Payment' below or the course must be returned to AMBIT immediately upon verbal or written request from AMBIT.

Payment

Any course ordered must be paid for within the time stipulated on the applicable invoice. If any amount on such an invoice is not paid within the stipulated time, AMBIT will add interest to the amount outstanding at a rate of 2% above the LIBOR. Such interest will continue to accrue as long as the amount remains unpaid. Until and unless any course has been paid for in full it remains unlicensed and so may not be used for any training at all.

Facilitation

Any AMBIT course may only be facilitated to schools by third parties provided that the third party has previously obtained written permission from AMBIT and paid the license fee to AMBIT (which will be individually negotiated in each case.)

Local Authorities

Local authorities may only use an AMBIT course according to the terms of an individually agreed licence issued by AMBIT and signed by an authorised officer of that authority. No other usage is permitted.

Restrictions

Any AMBIT course may only be used to train people employed within the school that has purchased and paid for it unless and until other terms of usage have been specifically agreed and stated on a licence issued by AMBIT and all fees due to AMBIT have been paid.

Any AMBIT course remains the property of the copyright holders and may not as a whole or in part be copied, re – sold, hired, lent, shown or edited or used for the training of individuals or organisations who or which have not purchased the course as described above or exploited in any other way without the written consent of AMBIT.
